These Terms of Service ("Terms") govern the use of the software services provided by Everfield Education ("Everfield", "we", "us"), including the Suffah student information system and any school-facing or family-facing portal we operate (together, the "Service"). By using the Service, a school ("School") or a user authorized by a School agrees to these Terms.
Everfield provides school administration software: student records, attendance, report cards, admissions, communication tools, a family portal, and payment facilitation. The Service is provided to Schools under a licence agreement; families and staff access it through accounts a School authorizes.
Users must keep credentials confidential and are responsible for activity under their account. Schools control which staff and family accounts exist and what those accounts can do. We may suspend accounts that compromise the security or integrity of the Service.
Schools pay an annual licence fee as agreed with Everfield. Where online payments are enabled, a payment processing service fee applies to transactions and is shown before payment is completed. Payment processing is performed by Stripe; by paying through the Service you also agree to Stripe's applicable terms. Everfield is a software provider and payment facilitator; it is not a bank.
Amounts collected through the Service (such as tuition and school fees) are owed by families to their School, and are settled to the School's own payment account. Refunds of amounts paid to a School are governed by that School's policies; Everfield will assist Schools in processing refunds through the payment system where applicable.
Schools own their data. Everfield processes it only to provide the Service, as described in our Privacy Policy. On termination, a School may request an export of its data.
The Service may not be used to violate law, infringe rights, transmit malicious code, attempt unauthorized access, or misrepresent identity. Schools are responsible for the accuracy of the academic records they maintain in the Service.
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance and factors outside our control (including third-party providers) may affect availability. Support is provided to School staff through the in-app support channel.
The Service is provided "as is" without warranties of any kind, to the maximum extent permitted by law. To the maximum extent permitted by law, Everfield's aggregate liability arising out of the Service is limited to the fees paid by the School for the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
Either party may terminate the licence as set out in the School's agreement. We may suspend the Service for non-payment or material breach after reasonable notice.
We may update these Terms; material changes will be notified to Schools. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
